END USER LICENSE, ASSUMPTION OF RISK, RELEASE, WAIVER & USER AGREEMENT

IMPORTANT — THIS IS A BINDING AGREEMENT. READ BEFORE PURCHASING, DOWNLOADING, INSTALLING, ACCESSING, OR USING MYCREW™.

This End User License, Assumption of Risk, Release, Waiver & User Agreement (“Agreement”) governs the purchase, acquisition, download, installation, possession, access, and use of MyCrew™.

This Agreement contains provisions affecting the user's legal rights, including an assumption of risk, an express release and waiver of claims based upon ordinary negligence, limitations of liability, and provisions allocating responsibility for the user's device and locally stored data.

The user is provided notice of and a reasonable opportunity to review this Agreement before purchasing or downloading MyCrew™.

If the user does not agree to these terms, the user must not purchase, download, install, access, or use MyCrew™.

1. PURPOSE AND NATURE OF MYCREW™

MyCrew™ is a private, invitation-based social communication application designed to allow users to create and participate in private groups (“Crews”) consisting of people they choose.

MyCrew™ is intentionally different from public social-networking platforms. MyCrew™ does not provide public profiles, public Crew content, public account discovery, “People You May Know” functionality, public followers or subscribers, influencer systems, trending or viral-discovery systems, or algorithms designed to introduce users to strangers.

The user—not Yellow-Tower Labs™—chooses whom to invite into a Crew.

MyCrew™ does not select, recommend, approve, investigate, certify, screen, or guarantee the identity, character, trustworthiness, intentions, or conduct of persons whom a user chooses to invite or authorize.

Your people. Your spaces. Nobody else.

2. LIMITED LICENSE

Subject to this Agreement and payment of any applicable license fee, Yellow-Tower Labs™ grants the user a limited, personal, non-exclusive, non-transferable license to install and use MyCrew™ for its intended purposes.

Yellow-Tower Labs™ retains all ownership and intellectual-property rights in MyCrew™.

Except as expressly authorized by Yellow-Tower Labs™ or permitted by applicable law, the user may not unlawfully copy, redistribute, sell, sublicense, reverse engineer, misappropriate, or commercially exploit MyCrew™.

The applicable license fee, payment structure, subscription terms, or one-time purchase terms, as applicable, shall be disclosed to the user before purchase.

3. DOWNLOAD; CUSTODY AND CONTROL

Upon download and installation, the downloaded copy of MyCrew™ is placed within the custody and control of the user.

The user assumes responsibility for the possession, physical security, electronic security, use, and configuration of the user's device and installed copy of MyCrew™, including responsibility for credentials, passwords, device access, locally stored data, local backups, networks, operating systems, third-party software, and persons to whom the user grants access.

Yellow-Tower Labs™ does not control whom a user invites, communicates with, shares information with, or trusts; how the user physically or electronically secures the user's device; or what authorized Crew members independently do with information they are permitted to access.

The user's decision to grant, continue, restrict, or terminate another person's access is the user's decision and responsibility.

4. LOCAL DATA STORAGE; NO YELLOW-TOWER LABS™ USER-CONTENT DATABASE

MyCrew™ is designed so that MyCrew™ user content is stored locally within the MyCrew™ application environment on the user's own computer or supported device.

YELLOW-TOWER LABS™ DOES NOT MAINTAIN A YELLOW-TOWER LABS™ USER-CONTENT DATABASE CONTAINING USERS' LOCALLY STORED MYCREW™ POSTS, PRIVATE MESSAGES, PHOTOGRAPHS, VIDEOS, CREW CONTENT, OR OTHER LOCALLY STORED USER-CREATED MYCREW™ CONTENT.

Locally stored MyCrew™ content remains within the custody and control of the user and the user's device.

The user assumes responsibility for protecting locally stored content against loss, theft, corruption, destruction, unauthorized access, copying, disclosure, dissemination, compromise, or exposure resulting from circumstances outside the possession or control of Yellow-Tower Labs™.

Such circumstances may include device loss or theft, unauthorized physical access, compromised credentials, credential sharing, malware, viruses, operating-system vulnerabilities, insecure networks, third-party applications or services, user-created backups, device failure, user error, persons granted access by the user, and the independent conduct of Crew members or other third parties.

The user acknowledges that Yellow-Tower Labs™ cannot possess, secure, recover, protect, or control locally stored information that is outside Yellow-Tower Labs™' possession or control.

5. PRIVATE ACCESS AND CREW MEMBERSHIP

Access to a Crew is limited to persons invited or otherwise authorized to participate in that Crew.

Membership in one Crew does not provide access to another Crew.

The user determines whom to invite and what information to communicate or share with authorized Crew members.

A person who has been granted access to information may be capable of viewing, copying, photographing, screenshotting, recording, retaining, reproducing, communicating, or redistributing information made available to that person.

Yellow-Tower Labs™ does not control the independent conduct of authorized persons after information has been made available to them.

The user therefore assumes responsibility for deciding whom to trust and authorize.

6. USER SECURITY RESPONSIBILITIES

Users should employ reasonable security practices appropriate to the information they choose to store or communicate through MyCrew™.

Users should use strong and unique passwords, protect account credentials, promptly change credentials believed to be compromised, maintain reasonable physical security over devices, install appropriate operating-system and security updates, use additional authentication protections where available, exercise care when using third-party networks or software, and invite only persons whom they reasonably know and trust.

Failure to employ reasonable security practices may materially increase the risk of unauthorized access, disclosure, loss, or compromise.

7. KNOW WHOM YOU INVITE

MyCrew™ is intended for private communication among people the user chooses to know and trust.

Users are strongly advised not to invite strangers or persons whose identities they have not reasonably verified.

Yellow-Tower Labs™ does not investigate, screen, monitor, supervise, or guarantee Crew members.

Privacy begins with the people you choose to trust.

8. PRIVATE DOES NOT MEAN BEYOND LAWFUL PROCESS

MyCrew™ is designed to provide private spaces between users and the people they choose to invite. It is not designed or intended to prevent lawful investigations or lawful governmental process.

The use of a private application does not place a user, device, communication, or stored information beyond the reach of applicable law.

A user's device, application data, communications, or other information may be subject to lawful investigation, search, seizure, disclosure, court order, warrant, subpoena, or other lawful governmental process where authorized by applicable law.

MyCrew™ must never be used under the assumption that “private” means immune from lawful investigation.

9. ASSUMPTION OF RISK

The user knowingly and voluntarily assumes the ordinary and reasonably foreseeable risks associated with the purchase, acquisition, download, installation, possession, access, and use of software and electronic communications, including risks associated with electronic devices, local data storage, authentication systems, passwords, networks, communications, authorized access, Crew membership and invitations, user-selected third parties, and locally stored user content.

The user further assumes risks arising from the conduct of persons whom the user voluntarily invites, authorizes, communicates with, or trusts.

The user understands that no software, electronic device, network, password, authentication system, data-storage system, or electronic communication can be guaranteed to provide absolute security.

10. SCOPE AND PURPOSE OF RELEASE

The purpose of the following release is to allocate, to the fullest extent permitted by applicable law, legally allocable risks associated with purchasing, acquiring, downloading, installing, possessing, accessing, and using MyCrew™ between the user and the Released Parties defined below.

The scope of this release includes claims arising from or reasonably related to the development, design, programming, implementation, testing, distribution, delivery, download, installation, functionality, operation, authentication, access controls, security and privacy functionality, Crew functionality, invitations, communications functionality, local data handling, local storage, deletion, backup or recovery functionality where provided, warnings, instructions, documentation, support, acquisition, possession, access, or use of MyCrew™.

The scope further includes ordinary risks associated with software, electronic communications, local data, electronic devices, credentials, account access, authentication, privacy and security functionality, Crew membership, invitations, communications, user content, and authorized users.

Upon download and installation, custody and control of the downloaded copy, the user's device, credentials, locally stored content, local backups, user-selected Crew membership, user communications, and other matters expressly placed within user control by this Agreement rest with the user.

THE PARTIES EXPRESSLY INTEND THIS RELEASE TO INCLUDE ORDINARY NEGLIGENCE BY THE RELEASED PARTIES OCCURRING WITHIN THIS STATED SCOPE AND PURPOSE.

11. RELEASED PARTIES

For purposes of this Agreement, “Released Parties” means Yellow-Tower Labs™, its owner, employees, agents, representatives, contractors, subcontractors, developers, programmers, designers, consultants, service providers acting on its behalf, affiliates, successors, assigns, and every person or entity for whose covered ordinary negligent act or omission any of the foregoing could otherwise be alleged to be legally responsible.

12. RELEASED CLAIMS

To the fullest extent permitted by applicable law, “Released Claims” means claims, demands, causes of action, liabilities, losses, damages, costs, expenses, obligations, or remedies, whether known or unknown, suspected or unsuspected, arising from or reasonably related to matters within the scope and purpose of the release stated in this Agreement.

Released Claims expressly include claims based upon ordinary negligence, negligent acts, negligent omissions, errors, or failure to exercise ordinary care by a Released Party when occurring within the scope and purpose of this Agreement.

13. EXPRESS RELEASE AND WAIVER OF ORDINARY NEGLIGENCE

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE USER KNOWINGLY, VOLUNTARILY, EXPRESSLY, AND UNCONDITIONALLY RELEASES, WAIVES, AND DISCHARGES THE RELEASED PARTIES FROM RELEASED CLAIMS ARISING FROM OR BASED UPON THE ORDINARY NEGLIGENCE, NEGLIGENT ACTS, NEGLIGENT OMISSIONS, ERRORS, OR FAILURE TO EXERCISE ORDINARY CARE OF YELLOW-TOWER LABS™ OR ANY OTHER RELEASED PARTY WHEN THE CLAIM FALLS WITHIN THE SCOPE AND PURPOSE OF THIS AGREEMENT.

This release expressly applies to ordinary negligence by Yellow-Tower Labs™ itself and by its owner, employees, agents, representatives, contractors, subcontractors, developers, programmers, designers, consultants, service providers acting on its behalf, and other Released Parties.

Without limiting the defined scope above, the release includes ordinary negligent acts or omissions occurring within development, design, programming, implementation, testing, distribution, maintenance where provided, security and privacy functionality, authentication, access controls, warnings, instructions, documentation, support, and the hiring, selection, training, supervision, or retention of persons performing covered functions on behalf of Yellow-Tower Labs™.

THE USER EXPRESSLY UNDERSTANDS THAT THIS IS A RELEASE OF CLAIMS FOR ORDINARY NEGLIGENCE BY YELLOW-TOWER LABS™ AND THE OTHER RELEASED PARTIES AND IS NOT LIMITED TO CLAIMS ARISING FROM THE USER'S OWN CONDUCT OR THE CONDUCT OF INDEPENDENT THIRD PARTIES.

No provision of this Agreement releases liability that applicable law prohibits from being released or waived in advance.

14. USER-CONTROLLED AND THIRD-PARTY EVENTS

To the fullest extent permitted by applicable law, Yellow-Tower Labs™ is not responsible for loss, damage, disclosure, compromise, injury, or other consequences resulting from circumstances outside its possession or control, including user invitation or authorization decisions; user communications or content; conduct of Crew members; redistribution of information by authorized persons; credential sharing or compromise; unauthorized physical access; device loss, theft, damage, or failure; malware; third-party applications or services; operating systems; networks or internet services; user-created backups; user configuration; failure to reasonably secure a device or credentials; or independent acts or omissions of third parties.

The user's selection and continued authorization of Crew members remain the user's responsibility.

15. THIRD-PARTY PRODUCTS AND SERVICES

Third-party products and services are independent from Yellow-Tower Labs™.

To the fullest extent permitted by applicable law, Yellow-Tower Labs™ is not responsible for the independent acts, omissions, policies, security practices, availability, operation, or conduct of third parties outside Yellow-Tower Labs™' possession or control.

Any third-party storefront or distribution provider used to purchase or deliver MyCrew™, including Gumroad if used for a particular transaction, is an independent service and is governed by its own applicable terms and policies.

16. NO GUARANTEE OF ABSOLUTE SECURITY

No software system can guarantee absolute security.

References to MyCrew™ as “private,” “secure,” “privacy-focused,” or similar descriptions refer to the application's intended architecture and functionality. Such descriptions do not constitute a promise, guarantee, representation, or warranty that any software, device, network, communication, account, credential, or stored information is absolutely secure, impenetrable, uninterrupted, or incapable of compromise.

17. DISCLAIMER OF WARRANTIES — NO WARRANTIES MADE

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MYCREW™ IS PROVIDED “AS IS” AND “AS AVAILABLE.”

To the fullest extent permitted by applicable law, Yellow-Tower Labs™ disclaims warranties, representations, guarantees, promises, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, compatibility, availability, performance, reliability, or security.

No advertisement, statement, description, demonstration, documentation, or communication creates a warranty unless Yellow-Tower Labs™ expressly identifies it as a warranty in writing.

Yellow-Tower Labs™ does not warrant uninterrupted or error-free operation or freedom from technical failure, incompatibility, data loss, unauthorized access, or security incidents.

Nothing in this Agreement shall be interpreted to disclaim or exclude a warranty or obligation that applicable law does not permit to be disclaimed or excluded.

18. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Yellow-Tower Labs™ and the Released Parties shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of data, use, profits, business, opportunity, reputation, or other consequential loss arising from or relating to MyCrew™.

To the fullest extent permitted by applicable law, the aggregate liability of Yellow-Tower Labs™ arising from or relating to the applicable MyCrew™ license shall not exceed the amount actually paid by the user for the applicable MyCrew™ license giving rise to the claim.

These limitations apply regardless of the theory upon which liability is asserted, to the fullest extent permitted by applicable law.

19. LAWFUL AND PROPER USE

MyCrew™ is licensed solely for lawful purposes.

The user is responsible for the user's communications, content, conduct, invitations, access decisions, and use of MyCrew™.

MyCrew™ may not be used to facilitate, promote, conceal, coordinate, or engage in criminal activity, fraud, harassment, unlawful threats, exploitation, stalking, trafficking, unauthorized access, unlawful distribution, abuse, or other unlawful conduct.

The private and invitation-based nature of MyCrew™ does not authorize unlawful conduct.

Unlawful use is unauthorized and outside the intended purpose and scope of the MyCrew™ license.

Yellow-Tower Labs™ does not authorize, direct, encourage, assist, or endorse unlawful use of MyCrew™.

20. INDEMNIFICATION

To the fullest extent permitted by applicable law, the user agrees to defend, indemnify, and hold harmless Yellow-Tower Labs™ and the other Released Parties from third-party claims, liabilities, losses, damages, costs, and reasonable expenses arising from the user's unlawful misuse of MyCrew™, the user's content, the user's violation of another person's rights, unauthorized distribution or use of MyCrew™, or the user's material violation of this Agreement.

This provision applies only to the extent permitted by applicable law.

21. NOTICE AND OPPORTUNITY TO ADDRESS CONCERNS

A user who becomes aware of a material security, licensing, technical, or other concern involving MyCrew™ should provide Yellow-Tower Labs™ with notice as soon as reasonably practicable so the matter may be evaluated and, where appropriate, addressed.

Nothing in this provision modifies any notice period, filing period, contractual limitation period, or statute of limitations imposed by applicable law.

22. DISPUTE RESOLUTION AND GOVERNING LAW

The parties should first attempt in good faith to resolve disputes arising from or relating to MyCrew™ informally where reasonably practicable.

This Agreement shall be governed by the laws of the State of California, without regard to conflict-of-law principles, to the extent permitted by applicable law.

To the extent legally permitted and except where a valid arbitration agreement requires otherwise, the parties agree that judicial proceedings arising from or relating to this Agreement or MyCrew™ shall be brought in an appropriate court located in San Diego County, California.

23. SEVERABILITY

If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent legally permitted or, where necessary, minimally severed so as to preserve the remainder of the Agreement.

The invalidity or unenforceability of one provision shall not by itself invalidate the remaining provisions.

24. EXPRESS AND IMPLIED ACCEPTANCE; CAPACITY AND VOLUNTARY ASSENT

THIS AGREEMENT IS A BINDING CONTRACT.

Before purchasing or downloading MyCrew™, the user is provided clear notice of this Agreement and a reasonable opportunity to review its terms.

By checking the acceptance box and selecting “I ACKNOWLEDGE & AGREE,” the user expressly manifests assent to and acceptance of this entire Agreement.

After receiving clear notice of and access to this Agreement, the user's voluntary purchase, download, installation, activation, access, possession, or use of MyCrew™ following express acceptance constitutes an additional manifestation of acceptance of and agreement to be bound by this Agreement to the fullest extent permitted by applicable law.

THE USER EXPRESSLY ACKNOWLEDGES THAT DOWNLOADING, INSTALLING, ACCESSING, POSSESSING, OR USING MYCREW™ AFTER EXPRESSLY ACCEPTING THIS AGREEMENT FURTHER MANIFESTS THE USER'S AGREEMENT TO BE BOUND BY ITS TERMS.

The user represents and acknowledges that acceptance is knowing, voluntary, intentional, and made of the user's own free will.

The user further represents that, at the time of acceptance, the user possesses sufficient legal and mental capacity to understand the nature and consequences of entering this Agreement and is not accepting it as the result of duress, coercion, undue influence, intimidation, compulsion, or a condition that prevents the user from knowingly and voluntarily understanding and accepting the Agreement.

The user represents that the user is able to read and understand the English language sufficiently to understand this Agreement or, before accepting it, has obtained competent translation or interpretation assistance sufficient to understand its terms.

The user acknowledges having had a reasonable opportunity to read this Agreement, obtain translation or interpretation assistance, seek independent advice, and decline this Agreement by choosing not to purchase, download, install, access, or use MyCrew™.

A user's decision not to read some or all of this Agreement after receiving clear notice and a reasonable opportunity to review it does not by itself negate the user's manifestation of assent.

Yellow-Tower Labs™ may maintain evidence of contractual acceptance, including the Agreement version, Effective Date, acceptance timestamp, cryptographic hash of the exact Agreement presented for acceptance, and the recorded acceptance event.

25. ENTIRE AGREEMENT

This Agreement, together with any terms expressly incorporated into it, constitutes the agreement between the user and Yellow-Tower Labs™ concerning the matters addressed herein and supersedes prior representations or understandings concerning those matters to the extent permitted by applicable law.

No modification created solely by a user shall bind Yellow-Tower Labs™ unless expressly accepted in writing by an authorized representative of Yellow-Tower Labs™.

26. TRANSPARENCY AND BUSINESS MODEL

MyCrew™ is developed and distributed by Yellow-Tower Labs™, a privately held sole proprietorship owned by Dr. Tiffani L. Hume, D.B.A., J.D., LL.M.

Current business contact information shall be made available through official Yellow-Tower Labs™ business channels.

You pay us for the software. Your private life isn't our product.

Yellow-Tower Labs™ derives revenue from licensing MyCrew™ to its users. Yellow-Tower Labs™ does not derive revenue from selling, monetizing, or using users' private MyCrew™ content for targeted advertising.

27. FINAL USER ACKNOWLEDGMENT AND EXPRESS CONTRACTUAL ACCEPTANCE

EXPRESS CONTRACTUAL ACCEPTANCE

By checking the box below and selecting “I ACKNOWLEDGE & AGREE,” I acknowledge that I have been provided clear notice of this Agreement and a reasonable opportunity to read and review it before purchasing or downloading MyCrew™.

I acknowledge that I understand this Agreement or have obtained competent translation, interpretation, or other assistance necessary to understand it; that I possess sufficient capacity to enter into this Agreement; and that my acceptance is knowing, voluntary, intentional, and not the result of duress, coercion, undue influence, intimidation, or compulsion.

I acknowledge that this is a binding Agreement containing an assumption of risk, an express release and waiver of claims based upon ordinary negligence, limitations of liability, allocation of responsibility for locally stored data and user-controlled matters, and other provisions affecting my legal rights.

I understand that, following my express acceptance, my subsequent purchase, download, installation, activation, access, possession, or use of MyCrew™ further manifests my agreement to be bound by this Agreement.
